These Terms of Service ("Terms") are a legal agreement between you and Groundspace LLC ("Groundspace," "we," "us," or "our"). They govern your access to and use of the Groundspace mobile application, website, AI-powered features, guided experiences, voice features, and all related services (collectively, the "Service").
Please read these Terms carefully. By creating an account, accessing, or using Groundspace, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Groundspace is not designed to respond to emergencies or crisis situations. If you believe you may harm yourself or someone else, or if you are experiencing a medical or mental health emergency, call emergency services immediately (such as 911 in the United States) or contact a qualified crisis support service in your country.
Groundspace does not monitor user activity in real time and cannot guarantee intervention in emergency situations. Do not use Groundspace as a substitute for emergency services or professional crisis support.
You must be at least 13 years old to use Groundspace. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.
By using Groundspace, you represent that you have the legal capacity to enter into a binding agreement and that you are not barred from using the Service under the laws of your jurisdiction.
To access most features of Groundspace, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@groundspace.co if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or have been inactive for an extended period.
You may request deletion of your account and associated personal information by contacting support@groundspace.co. Some information may be retained as required or permitted by law, including for security, fraud prevention, legal compliance, dispute resolution, or legitimate business purposes. Groundspace is a digital wellness and personal clarity platform designed to help you reflect, process thoughts, organize emotions, and find a calmer way forward. The Service includes AI-powered conversation, guided experiences, voice-based features, ambient spaces, and personal growth tools.
Groundspace is not therapy, counseling, medical care, crisis support, or a substitute for professional mental health, medical, legal, or financial advice. Nothing in the Service creates a therapist-patient, doctor-patient, or any other professional relationship between you and Groundspace.
We may modify, suspend, limit, or discontinue any part of the Service at any time, including AI features, voice features, guided experiences, ambient spaces, subscriptions, or specific content, with or without notice, subject to applicable law.
Groundspace may offer a free tier with limited features and a paid subscription ("Groundspace Plus") with access to additional features. The features available on each tier are subject to change at our discretion.
If you purchase a Groundspace Plus subscription, you agree to pay the applicable fees. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) until cancelled. Payment is processed through Apple (for iOS) or other payment processors we may use.
All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated in these Terms.
We may offer free trials for Groundspace Plus. If you do not cancel before the trial period ends, you will be charged the applicable subscription fee. You can cancel at any time through your device's subscription settings.
You may cancel your subscription at any time through the App Store subscription settings on your device. Cancellation takes effect at the end of the current billing period. You will continue to have access to Plus features until then.
We may change subscription prices at any time. We will give you reasonable notice of any price change. Your continued use of Groundspace Plus after a price change takes effect constitutes your agreement to the new price.
For purchases made through the Apple App Store, refunds are handled by Apple and are subject to Apple's refund policies. We may assist with billing questions, but we do not control Apple's refund decisions. For billing questions, contact us at support@groundspace.co. We will make reasonable efforts to respond promptly.
Groundspace uses artificial intelligence to generate responses, suggestions, and content based on your inputs. When you use AI features, your messages may be processed by third-party AI providers. See our Privacy Policy for more information.
AI-generated content is provided for informational and reflective purposes only. It may not always be accurate, appropriate, or complete. You should not rely on AI-generated responses for any decision that requires professional judgment, including medical, legal, financial, or mental health decisions.
AI responses are generated automatically and may not be reviewed by a human before being shown to you. They do not represent the views or advice of Groundspace or any mental health professional.
If you use voice features, you consent to the recording, processing, and transcription of your audio inputs as described in our Privacy Policy. Voice features are subject to the same limitations as other AI-powered features described in Section 5.
Do not use voice features in circumstances where recording is prohibited by law without the consent of all parties.
Groundspace may allow you to submit, enter, or store content such as journal entries, reflections, chat messages, and other inputs ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant Groundspace a limited, non-exclusive, worldwide, royalty-free license to store, process, and use your User Content solely to provide and improve the Service. We do not sell your User Content.
You are responsible for your User Content. You agree not to submit content that is unlawful, harmful, abusive, harassing, defamatory, or that violates the rights of others.
You should not submit information that you do not want processed by Groundspace or its service providers, including third-party AI and voice processing services.

The Service and all content, features, functionality, design, text, graphics, logos, icons, audio, and software included in or made available through Groundspace are owned by or licensed to Groundspace LLC and are protected by copyright, trademark, and other intellectual property laws.
These Terms do not grant you any ownership rights in the Service. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.
"Groundspace" and related logos and marks are trademarks of Groundspace LLC. You may not use our trademarks without prior written permission.
Groundspace integrates with third-party services including AI providers, authentication providers, payment processors, and analytics tools. Your use of these third-party services is subject to their respective terms of service and privacy policies.
We are not responsible for the practices, content, or availability of third-party services. Links or integrations are provided for convenience and do not constitute endorsement.
You agree to indemnify, defend, and hold harmless Groundspace LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GROUNDSPACE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, OR NOT SUITABLE FOR YOUR SITUATION — DO NOT RELY ON IT FOR ANY DECISION REQUIRING PROFESSIONAL JUDGMENT.
GROUNDSPACE IS NOT THERAPY, MEDICAL CARE, OR CRISIS SUPPORT, AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH, MEDICAL, LEGAL, OR FINANCIAL ADVICE. IF YOU ARE IN CRISIS OR EXPERIENCING A MEDICAL EMERGENCY, CONTACT EMERGENCY SERVICES IMMEDIATELY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GROUNDSPACE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EMOTIONAL, FINANCIAL, OR DATA-RELATED DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL GROUNDSPACE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GROUNDSPACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

Before initiating any formal dispute, you agree to contact us at support@groundspace.co and give us 30 days to attempt to resolve the issue informally. Most concerns can be resolved this way.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Arizona, unless you and Groundspace agree otherwise.
You and Groundspace agree that any arbitration shall be conducted on an individual basis only and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Arbitration fees and costs will be governed by the AAA Consumer Arbitration Rules. Each party will be responsible for its own attorneys' fees unless applicable law or the arbitrator requires otherwise. We encourage you to review the AAA Consumer Arbitration Rules for details on fee structures, including situations where consumer fees may be limited or waived.
The following are not subject to arbitration and may be brought in court:
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions, unless applicable consumer protection laws in your jurisdiction require otherwise. To the extent court proceedings are permitted under these Terms, you consent to the jurisdiction of the state and federal courts located in Arizona.

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date, posting a notice in the app, or sending you an email. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and may delete your account by contacting us at support@groundspace.co.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, for legal or regulatory reasons, or for any other reason at our discretion.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 9, 11, 12, 13, 14, and 15) will survive.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Groundspace regarding the Service and supersede any prior agreements.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
Our failure to enforce any provision of these Terms shall not be considered a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms. Groundspace may assign these Terms in connection with a merger, acquisition, or sale of assets.
Except as expressly stated (e.g., Apple as a third-party beneficiary in Section 16), these Terms do not create any third-party beneficiary rights.
